Unless otherwise agreed upon and explicitly accepted by us in writing, only our conditions of sale are valid, and therefore they cancel and replace any purchasing condition of the Customer, without any obligation of a written notice of ours.
Reservations on prices
Prices quoted in the price lists, offers and confirmations of order are not binding and can be updated on the production costs in force on the day of the delivery.
Payments
Payments are to be made exclusively at our legal seat within the terms agreed upon. In case payments are not met on maturity, default interests will be charged to the Customer at the current commercial rate.

Reservations on property
Even though the delivery is accepted, the goods remain our own property till payments are completely effected.
Delivery terms
Unless otherwise agreed upon and accepted by us in writing, delivery terms are not binding.
Packing
Unless otherwise agreed upon in writing, packing costs are charged to the customer.
Transport and shipping
As a standard, goods are delivered ex our works. T.E.R. srl is released from its obligations upon collection of the goods by the carrier. The goods travel at the Customer’s risk, also when carriage is paid. In case of carriage paid, T.E.R. srl chooses a carrier of confidence, but T.E.R. srl is not to be held responsible under any circumstances. When the insurance on transport is needed, it shall be explicitly requested by the Customer and it will be at his expense. Upon receipt of the goods, the Customer shall check them and, in case of failure or defect, he shall put forward possible written claims to the carrier.
Returns of goods:
Returns of goods are accepted only if previously authorized by us in writing, and they are ex our works; the Customer will be charged with any expense paid for by TER CESKA.
Guarantee
Before being shipped, all products are thoroughly checked, and TER CESKA guarantees that there are no material or manufacturing defects. We guarantee the replacement of all end-products or components (except batteries) within 12 months from the date of shipment in case there are proved manufacturing defects of which we have been advised in writing during the period of validity.
The guarantee is not applicable to products that have been tampered or damaged by causes with which TER CESKA is not chargeable, and to products that are used for applications different from those specified by the limits of use explained by the standards and/or by our catalogues and/or by TER CESKA official documents. Since the customer is responsible for the assembly, electric connections, use and any other operation regarding the products, TER CESKA can only guarantee its products and not the complete installation or system.
TER CESKA is not bound to pay for direct or indirect damage or for loss of profits in case of claims regarding its products, even when they have been replaced or repaired free of charge.
Claims
Claims are valid only if written and addressed to T.E.R. srl by recorded delivery within eight days from the date of receipt of goods, otherwise they cannot be accepted.
Law court
Contestations are under the jurisdiction of the Court of Prague,
